This Single-Member LLC Questionnaire will solicit from you the prelmininary informaiton our law firm will need to begin organizing, structuring, and registering your LLC.

Please state the business name exactly how you intend to use it.
Please state the principal purpose of the business. In other words, what is the primary service or product offering for the business.
If you have yet to establish a business address, or do not intend to, please insert the address of your residence.
Please state the business phone number for the LLC
A single member LLC may be taxed as a sole proprietorship, S Corp or C Corp. The majority of all new businesses are taxed as sole proprietorship, at least initially.
Please state your home address information.
Manager-Managed Structure:
To retain the maximum asset and creditor protections that the LLC offers, we suggest a manager-managed structure. In short, we will elect you, as the sole member, to manage the internal operations of the LLC.
Election of Assistnat Managers
Please state the name of any Assistant Managers. Note, the assistant manager does not need to me a member or owner of the LLC. However, if the assistant manager has manager authority, he or she will be able to act, and make decisions, on behalf of the LLC. manager of the business.

What amount will you initially contribute to the LLC in exchange for your equity/membership interests? Note, if you will contribute a nominal amount, $1,000 should be the minimum.

Please provide a summary of whether your LLC intends to engage any independent contractors or employees now or in the foreseeable future.
Will you receive a guaranteed payment (or salary if a corporate tax structure is elected) for your services.
